These Terms of Service govern access to the WebMediaCatalyst website and the purchase or use of services provided by WebMediaCatalyst, a proprietorship based in Bengaluru, Karnataka, India. By using the website, submitting an enquiry, accepting a proposal, paying an invoice, signing an agreement, or authorising work, you agree to these Terms. If a signed proposal, statement of work, or service agreement conflicts with these Terms, the signed document prevails for that specific engagement.
2. Eligibility and Authority
You confirm that:
- You are legally capable of entering into an agreement
- You are authorised to act for the relevant business
- Information supplied by you is accurate
- Your business, offers, products, claims, lists, content, and instructions comply with applicable law
3. Services
WebMediaCatalyst provides marketing strategy, content planning and production, creative services, website and landing-page work, funnels, lead generation, CRM setup, marketing automation, email/WhatsApp/SMS workflows, social media marketing, performance marketing, reporting, consulting, and related implementation and support.
The exact scope, deliverables, volume, timeline, responsibilities, limits, and exclusions are stated in the applicable proposal, plan, invoice, or written agreement.
4. Managed-Service Model
WebMediaCatalyst manages agreed marketing activities on the client's behalf. The client remains the owner and operator of its business and retains final responsibility for offers, pricing, claims, products and services, customer fulfilment, sales decisions, legal compliance, regulatory approvals, customer support, business operations, accuracy of information, and approval of marketing materials.
5. Plans
The Launch Plan is priced at Rs. 49,999 per month plus applicable taxes and covers the agreed managed marketing foundation and monthly execution stated in the proposal.
The Scale Plan is priced at Rs. 69,999 per month plus applicable taxes and includes agreed performance marketing services in addition to the connected marketing foundation. Advertising spend is not included.
WebMediaCatalyst can revise plan pricing for future billing by providing reasonable notice. Existing signed commitments remain subject to their agreed terms.
6. Automatic Renewal
Plans renew automatically every month until cancelled in accordance with these Terms. The client authorises recurring invoicing or payment collection through the agreed method. Failure to use available service capacity does not prevent renewal or create a refund right.
7. Cancellation
The client must provide at least 30 days' written cancellation notice to support@webmediacatalyst.ai. Cancellation becomes effective only after written notice is received, outstanding invoices are paid, applicable notice-period charges are settled, and required account-transition steps are completed.
Cancellation stops future renewals after the applicable notice period. It does not cancel charges already incurred or work already scheduled, started, produced, committed, or delivered.
8. Fees and Payment
Fees are payable in advance unless otherwise agreed. Invoices must be paid by the due date.
Late or failed payment may result in paused work, withheld delivery, campaign suspension, loss of reserved production capacity, suspension of system access, and recovery of reasonable collection costs.
9. Taxes
Prices are exclusive of applicable taxes unless expressly stated otherwise. For domestic supplies in India, GST and other applicable taxes will be charged at the legally applicable rate based on the nature and place of supply. Services supplied to international clients may be treated according to applicable export-of-services and zero-rating rules where all statutory conditions are satisfied.
The client must provide accurate billing, tax-registration, place-of-supply, and recipient information.
10. Advertising Spend
Advertising spend is separate from WebMediaCatalyst's service fee. The client is responsible for funding ad accounts, maintaining valid payment methods, paying platform charges, setting or approving budgets, ensuring adequate funds, and accepting platform billing terms.
WebMediaCatalyst is not responsible for platform charges, currency conversion, taxes, failed payments, overspend caused by platform behaviour, or charges made directly by an advertising provider, except to the extent caused solely by proven unauthorised action by WebMediaCatalyst.
11. Third-Party Costs
Third-party software, communication usage, domains, hosting, stock assets, licences, APIs, payment gateways, email delivery, WhatsApp conversations, SMS, integrations, plugins, and other external costs are billed separately unless expressly included in writing. Third-party costs are non-refundable once purchased, committed, consumed, or paid.
12. Client Responsibilities

- Respond to leads
- Supply lawful customer data
- Ensure claims and offers are accurate

- Follow platform policies
- Protect credentials and devices
- Notify us promptly of security or account issues
13. Delays and Dependencies
Deadlines depend on timely client cooperation, approvals, access, third-party providers, platform reviews, and other dependencies. Client delay may extend timelines, affect campaign performance, reduce monthly output, require rescheduling, cause loss of reserved capacity, or create additional charges. Unused capacity caused by client delay does not automatically roll over.
14. Approvals
The client is responsible for reviewing and approving claims, pricing, offers, legal statements, disclaimers, content, creative assets, landing pages, campaigns, audience instructions, and automation messages. Approval may be given through email, project tools, messaging, meetings, or other agreed channels. Once approved or published, changes may require additional time or charges.
15. Advertising Platforms
Meta, Google, YouTube, WhatsApp, email providers, hosting providers, and other platforms control their own account approval, ad approval, template approval, reach, delivery, pricing, policies, suspensions, restrictions, algorithms, reporting, and availability. WebMediaCatalyst does not control and is not liable for platform rejection, delay, suspension, account loss, policy enforcement, outage, or algorithm change.
16. No Guaranteed Results
Marketing outcomes depend on factors including market demand, competition, offer, pricing, reputation, budget, platform behaviour, sales response, customer experience, website performance, business operations, economic conditions, and regulatory changes.
WebMediaCatalyst does not guarantee leads, sales, revenue, profit, rankings, reach, followers, engagement, conversion rate, cost per lead, return on ad spend, platform approval, account continuity, or specific timelines for results. Any forecast, benchmark, example, estimate, or strategy discussion is illustrative and not a promise.
17. AI-Assisted Work
WebMediaCatalyst uses artificial intelligence tools to support research, ideation, drafting, analysis, image generation, video production, workflow automation, and operational efficiency. AI output may contain errors, similarities, limitations, or inaccuracies. Work remains subject to review, client approval, applicable licences, and third-party terms.
The client must not rely on marketing content as legal, medical, financial, regulatory, or other professional advice.
18. Intellectual Property
Client Materials
The client retains ownership of materials supplied by the client and grants WebMediaCatalyst a licence to use them for service delivery. The client confirms it has the required rights to all supplied materials.
WebMediaCatalyst Materials
WebMediaCatalyst retains ownership of pre-existing frameworks, systems, templates, methods, know-how, prompts, processes, reusable components, libraries, and internal tools.
Final Deliverables
Ownership or licence terms for final paid deliverables are defined in the applicable proposal or agreement. Third-party assets remain subject to their original licence terms. No ownership transfers until all related invoices are paid in full.
19. Portfolio Use
Unless prohibited in writing or restricted by confidentiality obligations, WebMediaCatalyst may identify the client as a client and display approved logos, public-facing work, general service descriptions, and non-confidential outcomes in its portfolio, proposals, and marketing. Sensitive, confidential, or unpublished information will not be disclosed without authorisation.
20. Confidentiality
Each party must take reasonable steps to protect non-public business, commercial, technical, customer, and operational information received from the other party. Confidentiality does not apply to information that is publicly available without breach, was already lawfully known, is independently developed, is lawfully received from another source, or must be disclosed by law.
21. Data Protection
Each party must comply with applicable data-protection requirements relevant to its role. The client is responsible for the lawful collection and use of customer and lead data supplied for processing. Additional data-processing terms may be required for specific engagements or jurisdictions.
22. Security and Access
The client should provide access using secure invitation, role, vault, or password-management methods where available. WebMediaCatalyst may refuse insecure access practices. The client remains responsible for account ownership, recovery details, internal user access, and removal of former staff.
23. Support
Support is provided through the channels and service windows stated in the proposal or onboarding documentation. General enquiries: connect@webmediacatalyst.ai. Support and escalations: support@webmediacatalyst.ai. Support does not include unlimited strategy, production, revisions, emergency work, or work outside the agreed scope.
24. Revisions and Scope Changes
Revisions are limited to the number or process stated in the applicable proposal. A new direction after approval, substantial rewrite, changed offer, additional page, additional campaign, extra format, or expanded deliverable may be treated as additional scope. Additional work requires written approval and may involve additional fees or revised timelines.
25. Suspension and Termination
WebMediaCatalyst may suspend or terminate service for non-payment, unlawful instructions, abusive conduct, security risk, misrepresentation, platform-policy violations, repeated failure to provide required access or approvals, material breach, or reputational or regulatory risk. Amounts already paid remain non-refundable except where required by law.
26. Refunds
All fees are non-refundable once paid, including where the client changes direction, delays the project, fails to provide access, does not use available capacity, stops responding, disagrees with platform decisions, experiences lower-than-expected performance, or cancels during an active billing period. This clause does not limit rights that cannot lawfully be excluded.
27. Chargebacks
The client must first raise a billing dispute with support@webmediacatalyst.ai and allow a reasonable opportunity for review. An unjustified chargeback may result in immediate suspension, termination, recovery action, and liability for related fees and costs.
28. Limitation of Liability
To the maximum extent permitted by law, WebMediaCatalyst is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages, and is not liable for third-party platforms, outages, suspensions, data loss, account restrictions, algorithm changes, or client operational failures.
WebMediaCatalyst's total aggregate liability relating to a claim will not exceed the service fees actually paid to WebMediaCatalyst for the one month immediately preceding the event giving rise to the claim. Nothing excludes liability that cannot legally be excluded.
29. Indemnity
The client agrees to indemnify and hold WebMediaCatalyst harmless from claims, losses, penalties, costs, and expenses arising from client products or services, unlawful or misleading claims, client-supplied content, intellectual-property infringement in client materials, unlawfully collected data, regulatory non-compliance, customer disputes, platform-policy violations caused by client instructions, or breach of these Terms.
30. Force Majeure
Neither party is liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, war, civil disturbance, government action, internet failure, power failure, cyberattack, epidemic, labour disruption, platform outage, or third-party service interruption.
31. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory legal rights, courts in Bengaluru, Karnataka, India have exclusive jurisdiction.
32. Dispute Resolution
Parties should first attempt to resolve disputes through good-faith written communication. Escalations must be sent to support@webmediacatalyst.ai with relevant facts, invoices, and supporting documents. Nothing prevents either party from seeking urgent legal relief where necessary.
33. Changes
WebMediaCatalyst can update these Terms to reflect changes in law, services, operations, technology, or risk. Updated Terms apply from the stated effective date, subject to existing signed agreements.
